Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and GENTSHUB TRADING L.L.C (“GENTSHUB”, “we”, “us” or “our”). They govern your use of the website operated at gentshub.com (the “Site”), the products we sell through it, and any related services we may provide from time to time (collectively, the “Services”).

By accessing the Site, creating an account, placing an order or otherwise using the Services, you confirm that you have read, understood and accepted these Terms together with our Privacy Policy, Refund & Return Policy and Shipping Policy, each of which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, please discontinue your use of the Site.

To use the Services you must be at least eighteen (18) years old and have the legal capacity to enter into a binding contract under the laws of the United Arab Emirates. By using the Services, you represent and warrant that you meet these eligibility requirements.

The Services are intended for personal, non-commercial use. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

For ease of reference, certain capitalised terms used throughout these Terms are defined as follows:

• “Account” means the personal customer account you may create on the Site.
• “Content” means all text, photography, video, audio, illustration, code and other material made available through the Site by GENTSHUB.
• “Order” means a request you submit through the Site to purchase one or more products.
• “Products” means the goods offered for sale on the Site.
• “User Content” means any rating, review, image, comment, message or other material that you submit, post or transmit through the Services.

We grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Site for your personal, non-commercial purposes, subject to your continued compliance with these Terms.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. You agree not to:

• Use the Services in violation of any applicable law, regulation or third-party right;
• Attempt to interfere with the proper working of the Site, including by introducing viruses, attempting unauthorised access, or stress-testing any portion of the Services without prior written consent;
• Scrape, harvest, mirror or otherwise systematically extract data from the Site without our prior written consent;
• Use the Services to send unsolicited communications, advertising or chain letters;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Reverse-engineer, decompile or attempt to derive the source code of any software or component made available through the Services.

Certain features of the Services require you to create an Account. When creating or updating your Account, you agree to provide accurate, current and complete information and to keep that information up to date.

You are responsible for safeguarding your Account credentials and for any activity that occurs under your Account. You agree to notify us immediately at support@gentshub.com of any unauthorised use of, or access to, your Account.

GENTSHUB reserves the right, at its sole discretion, to suspend or terminate any Account that we reasonably believe to be in breach of these Terms, that has provided false or misleading information, or that is engaged in fraudulent or abusive activity.

We take great care in the editorial, photography and description of every Product presented on the Site. Nevertheless, slight variations in colour, finish, packaging or accompanying materials may occur as a result of your display settings, manufacturing batches or supplier updates. Such minor variations do not entitle you to a refund except as expressly provided in our Refund & Return Policy.

Product availability is subject to change without notice. We reserve the right at any time to modify, suspend or discontinue any Product, with or without notice, and we shall not be liable to you or any third party for any such modification, suspension or discontinuance.

All prices on the Site are quoted in United Arab Emirates Dirhams (AED) and are inclusive of any value-added tax (VAT) due under UAE law, unless expressly stated otherwise. Shipping charges, where applicable, are calculated and displayed separately at checkout.

We reserve the right to change prices at any time without prior notice. Price changes will not affect Orders for which we have already issued an Order Confirmation, save in the event of an obvious pricing error.

If, despite our reasonable efforts, a Product is listed at an incorrect price due to a typographical, transmission or system error, we reserve the right to cancel the affected Order and refund any amount already paid in full.

The placement of an Order through the Site constitutes an offer by you to purchase the selected Products in accordance with these Terms. All Orders are subject to availability and to our acceptance.

An automatic order-receipt email confirms that we have received your offer; it does not constitute acceptance of the Order. A contract between you and GENTSHUB is formed only when we issue a separate despatch confirmation indicating that the Products have been handed to the carrier.

Payment must be made in full at the time of checkout through one of the payment methods accepted on the Site. By submitting payment, you represent that you are the lawful holder of the payment instrument used and that sufficient funds are available to cover the transaction.

We reserve the right to refuse or cancel any Order at our sole discretion, including (without limitation) where: a Product is no longer available; we are unable to verify the payment or address; we suspect fraud or abuse; or the Order breaches these Terms. Where an Order is refused or cancelled after payment, the full amount paid will be refunded to the original payment method.

The despatch, delivery and tracking of Orders are governed by our Shipping Policy. The conditions and timeframes under which returns, exchanges and refunds may be requested are governed by our Refund & Return Policy.

Both policies form an integral part of these Terms. You are invited to read them carefully before placing an Order.

All Content made available through the Site — including but not limited to the GENTSHUB name, logo, brand identity, photography, video, illustration, copywriting, fragrance compositions, packaging design, code, layout and selection and arrangement of materials — is the property of GENTSHUB TRADING L.L.C or its licensors and is protected by copyright, trademark, design and other intellectual-property laws of the United Arab Emirates and other jurisdictions.

Nothing in these Terms grants you any right, title or interest in the Content. You may not copy, reproduce, modify, distribute, publicly display, perform, republish, download, store, transmit or create derivative works of any Content without the prior written consent of GENTSHUB, except for personal, non-commercial viewing carried out in the ordinary course of using the Site.

You retain ownership of any User Content you submit through the Services. By submitting User Content, however, you grant GENTSHUB TRADING L.L.C a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable and sub-licensable licence to use, reproduce, adapt, publish, translate, distribute and display such User Content in any media in connection with the operation, promotion and improvement of the Services.

You represent and warrant that any User Content you submit (i) is your own original work or that you have all necessary rights to submit it, (ii) does not infringe the intellectual-property, privacy or other rights of any third party, and (iii) does not contain unlawful, defamatory, obscene, threatening or otherwise objectionable material. GENTSHUB reserves the right, but assumes no obligation, to monitor, edit or remove any User Content at its sole discretion.

Without limiting the other provisions of these Terms, you agree not to use the Services to:

• Engage in any unlawful, fraudulent, deceptive, harmful or abusive activity;
• Resell Products purchased through the Site without our prior written consent;
• Harass, intimidate or threaten any other user or any GENTSHUB representative;
• Collect or store personal information about other users;
• Attempt to gain unauthorised access to any part of the Services, other users’ accounts, or any connected systems or networks;
• Use any robot, spider, scraper or other automated means to access the Services for any purpose without our express written permission.

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, GENTSHUB makes no representations or warranties of any kind, express or implied, with respect to the Services, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement or accuracy.

We do not warrant that the Site will be uninterrupted, error-free, free of viruses or harmful components, or that defects will be corrected. Any reliance you place on the Content is strictly at your own risk.

Nothing in this section seeks to exclude or limit any right or remedy you may have under the consumer-protection laws of the United Arab Emirates that cannot be excluded or limited by agreement.

To the maximum extent permitted by applicable law, GENTSHUB TRADING L.L.C, its directors, officers, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.

To the extent that liability cannot be excluded by applicable law, the aggregate liability of GENTSHUB TRADING L.L.C in respect of any claim arising out of or in connection with these Terms or your use of the Services shall not exceed the total amount paid by you to GENTSHUB for the Order giving rise to the claim.

Nothing in these Terms shall exclude or limit our liability for fraud, gross negligence, wilful misconduct, or any liability that cannot lawfully be excluded under the laws of the United Arab Emirates.

You agree to defend, indemnify and hold harmless GENTSHUB TRADING L.L.C and its directors, officers, employees, agents, affiliates and licensors from and against any and all claims, demands, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (i) your breach of these Terms; (ii) your use or misuse of the Services; (iii) your violation of any law or of the rights of any third party; or (iv) any User Content you submit through the Services.

GENTSHUB shall not be liable for any failure to perform, or delay in performing, any of its obligations under these Terms that is caused by events outside its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, fire, flood, storm, earthquake, sandstorm, strikes, labour disputes, restrictions imposed by any government or regulatory authority, failures of public or private telecommunications networks, or interruptions in supply or delivery services.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of the United Arab Emirates as applied in the Emirate of Dubai.

The competent courts of the Emirate of Dubai shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter, save where the laws of the United Arab Emirates confer jurisdiction on another forum that cannot be derogated from by agreement.

We may amend these Terms from time to time to reflect changes in our practices, in technology, in legal or regulatory requirements, or for other operational reasons. The most current version will always be posted on the Site, with the updated effective date shown at the top of the page.

Where the change is material, we will give you reasonable advance notice through the Site or by email. Your continued use of the Services after the effective date of the amended Terms constitutes your acceptance of the amended Terms.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, Refund & Return Policy and Shipping Policy, constitute the entire agreement between you and GENTSHUB TRADING L.L.C with respect to the Services and supersede any prior agreement, understanding or arrangement between you and us in respect of the same subject matter.

No failure or delay by GENTSHUB in exercising any right under these Terms shall operate as a waiver of that right, nor shall any partial exercise prevent any further exercise of that or any other right.
